This document (hereinafter referred to as “Terms & Conditions”) sets forth the agreement between you (hereinafter referred to as “Client” or “you”) and 7Roars, a Delaware Corporation (hereinafter referred to as “7Roars” or “our”, “us” or “we”). It encompasses all the service details and pricing as outlined on our website under “Proposal A-Z” or “Annexure A-Z”, along with related agreements such as our SEO Agreement and any other legal notices concerning this agreement, now or as updated in the future.
Consent and Agreement
(A) Electronic Agreement: By using our services, you acknowledge and consent to these Terms and Conditions electronically. If you require a paper copy of this agreement before engaging with our services, please contact our customer support team at support@7roars.com.
(B) Right to Decline: If you choose not to accept these terms electronically, you should not click “I agree,” nor should you process any orders or make payments. Instead, you are encouraged to contact our customer support to discuss alternatives.
(C) Electronic Execution: By clicking “I agree,” logging in to sign “Proposal A-Z” or “Annexure A-Z” electronically, or by making any payments, you confirm that you can access, read, understand, and agree to all of this agreement, and consent to the use of electronic contracts under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN).
Project Engagement and Authorization
(D) Client Authorization: As part of this agreement, you grant 7Roars authorization to access your hosting service provider to carry out the Web Design Project. This may include transferring data, configuring services, and installing necessary tools and software.
(E) Development Specifications: The Web Design Project will be developed using the latest technologies suitable for the project’s requirements, including but not limited to HTML5, CSS3, JavaScript, PHP, and MySQL. The project is aimed to be compatible across modern web browsers such as Google Chrome, Mozilla Firefox, and Safari.
Financial Terms and Project Delivery
(F) Payment and Delivery: Detailed in “Proposal A-Z” or “Annexure A-Z”, payments must be made according to the agreed schedule, and the project will be delivered upon completion of services and final payment receipt. 7Roars reserves the right to withhold delivery of the project if payments are not made as agreed.
(G) Maintenance and Updates: This agreement includes an initial maintenance period as specified, during which minor updates and modifications to the website are covered. Extensive changes and major revisions will be subject to additional charges at rates specified in the agreement.
Intellectual Property and Indemnifications
(H) Intellectual Property Rights: You guarantee that all elements provided for the project (text, images, trademarks, etc.) are either owned by you or that you have permission to use them. You agree to indemnify 7Roars against any legal claims arising from the use of such materials.
Legal Jurisdiction and Dispute Resolution
(I) Arbitration: Any disputes arising from this agreement will be resolved through binding arbitration in Delaware, United States. Both parties agree to submit to the jurisdiction of this locale for arbitration.
(J) Amendments: This document constitutes the complete agreement between you and 7Roars. Any amendments to this agreement must be made in writing and signed by both parties.
Confirmation of Agreement
By proceeding to use our services and clicking “I agree,” you consent to these terms as documented electronically, without the need for a physical signature. This electronic agreement is fully valid and enforceable.
